Terms of Service

These Terms of Service ("Terms") govern access to and use of ConnectERP (the "Service"), provided by Connecticut Co Ltd ("we", "us", "our"). By creating an account, starting a free trial, or otherwise using the Service, you ("you", "your", the "Customer") agree to these Terms. If you are accepting these Terms on behalf of a company, you confirm you have the authority to bind that company.
1. The Service
ConnectERP is a multi-tenant business management (ERP) application covering sales and invoicing, purchasing, inventory, and double-entry accounting, along with reports and registers relevant to running a business in Mauritius. Each Customer's data is kept in its own tenant account and is not accessible to other Customers.
2. Accounts and Eligibility
You must provide accurate information when creating an account and keep it up to date. You are responsible for all activity under your account, including actions taken by users you invite into your company's tenant, and for keeping login credentials confidential. Notify us promptly if you believe your account has been accessed without authorization.
3. Free Trial
New accounts start with a free trial period (currently 14 days, no payment card required). At the end of the trial, continued use of the Service requires an active, paid subscription on one of the published Plans. We may change the length or terms of future trials at any time.
4. Subscriptions, Fees, and Billing
Subscription fees are set out on our Pricing page and billed in Mauritian Rupees (MUR) on the billing cycle stated for your chosen Plan. Fees are exclusive of any applicable VAT unless stated otherwise. We may change our Plans and pricing going forward, with reasonable notice before a change applies to your next billing period. 5. Your Data and Content
You retain ownership of all business data you input into the Service - customer and supplier records, transactions, financial records, and any files you upload ("Customer Data"). We do not claim ownership of Customer Data and will not use it for any purpose other than providing and supporting the Service, except as described in our Privacy Policy. You are responsible for the accuracy and legality of Customer Data you enter, including any personal data of your own customers, suppliers, or employees.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Attempt to access another Customer's tenant, data, or accounts without authorization;
- Probe, scan, or test the security of the Service, or interfere with its normal operation;
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law;
- Resell or sublicense access to the Service without our prior written consent.
7. Intellectual Property
The Service, including its software, design, and branding, is owned by Connecticut Co Ltd and protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your own business operations - nothing else is transferred to you.
8. Availability and Support
We aim to keep the Service available and reliable but do not guarantee uninterrupted access. Planned maintenance, third-party outages, and factors outside our control can affect availability. We will make reasonable efforts to communicate significant planned downtime in advance.
9. Suspension and Termination
We may suspend or terminate access to the Service if fees remain unpaid after a trial or subscription period ends, if these Terms are breached, or if we reasonably believe the account poses a security or legal risk to us or to other Customers. You may stop using the Service and cancel your subscription at any time as described in our Refund & Cancellation Policy. On termination, we may retain Customer Data for a limited period to allow export, after which it may be deleted in line with our data retention practices.
10. Disclaimers
The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, or that the Service will be error-free. ConnectERP is a business tool, not a substitute for independent legal, tax, or accounting advice - you remain responsible for the accuracy of your own statutory filings and records.
11. Limitation of Liability
To the fullest extent permitted by law, Connecticut Co Ltd will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits, revenue, or data, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the fees you paid us in the 3 months preceding the event giving rise to the claim.
12. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or an in-app notice) before they take effect. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of Mauritius, without regard to conflict-of-law principles.
